ACAP Advisory Public Company Limited would like to inform you that the Company’s Board of Directors, at its meeting number 5/2014 held on August 8, 2014,made the resolutions pertaining to the important agenda as follows:
1. Acknowledged the resignation of Mr.Suraphol Sindhuvanich from his position as the Company’s Independent Director, Chairman of the Audit Committee and Member of the Nominating and Compensation Committee, effective from August 8, 2014 onwards.
2. Acknowledged the resignation of Mr.Sujarit Isarankura from his position as the Company’s Director and Member of the Executive Committee, effective from August 8, 2014 onwards.
3. Approved the appointment of Mrs.Pennipa Dabbaransi as the Company’s Independent Director,Chairman of the Audit Committee and Member of the Nominating and Compensation Committee to replace Mr.Suraphol Sindhuvanich. In this regard, Mrs.Pennipa shall serve the remaining term of office of Mr.Suraphol, effective from August 9, 2014 onwards.
4. Approved the appointment of Mr.Sawin Laosethakul as the Company’s Director and Member of the Executive Committee to replace Mr.Sujarit Isarankura. In this regard, Mr.Sawin shall serve the remaining term of office of Mr.Sujarit, effective from August 9, 2014 onwards.
In addition, the Company has resolved that the names and number of directors who are authorized to sign on behalf of the Company shall be amended as follows: "Mr.Vivat Vithoontien, a managing director, sign together with Mr.Issarachai Decharit or Mr.Chalermchai Sirinopawong or Mr.Saringkarn Sutaschuto or Mr.Kenuo Lin or Mr.Sawin Laosethakul with the Company's seal affixed or anyone of Mr.Issarachai Decharit or Mr.Chalermchai Sirinopawong or Mr.Kenuo Lin sign together with anyone of Mr.Saringkarn Sutaschuto or Mr.Sawin Laosethakul with the Company's seal affixed."
